Terms & Conditions

§ I

Definitions

In these Terms and Conditions, the following expressions have the meanings set out below:

"the Firm"
Murni Counsel, a legal practice registered with the Malaysian Bar, with principal office at 31, Jalan Wong Ah Fook, 80000 Johor Bahru, Johor.
"Services"
Legal services provided by the Firm, including civil litigation representation, commercial agreement drafting and review, and letter-before-action advisory services.
"Website"
The website operated by the Firm at murnicouqt.info and all pages and subdomains thereof.
"User"
Any person who accesses the Website or corresponds with the Firm in connection with an enquiry or engagement.
"Client"
A User who has entered into a written engagement letter with the Firm for the provision of Services.
"Agreement"
These Terms and Conditions together with any applicable engagement letter or retainer agreement.
"Content"
Text, images, documents, and other material published on the Website by the Firm.
§ II

Acceptance of Terms

By accessing the Website or submitting an enquiry to the Firm, you agree to be bound by these Terms and Conditions. If you do not agree, you should not use the Website or submit an enquiry.

Use of the Website and submission of enquiries is available only to persons who have attained the age of eighteen (18) years and who have legal capacity to enter into binding agreements under Malaysian law. Persons under this age may not submit enquiries or instructions directly; they must be represented by a parent, guardian, or next friend.

Nothing in these Terms and Conditions constitutes or implies an agreement by the Firm to accept any particular instruction. An engagement is formed only upon execution of a written engagement letter by both the client and a principal of the Firm.

§ III

Description of Services

The Firm offers the following categories of legal service from its office in Johor Bahru:

Civil Litigation

Representation principally before the Malaysian High Court at Johor Bahru and the Court of Appeal in Putrajaya in matters involving contract disputes, partnership and shareholder disagreements, and property-related disputes. Written work fees commence from MYR 2,290; advocacy fees are quoted separately upon assessment of the matter.

Commercial Drafting

Drafting and review of substantive commercial agreements including joint venture agreements, distribution arrangements, supplier contracts, and shareholder agreements. Fees from MYR 1,180, quoted at outset based on document complexity.

Letter-Before-Action Conference

A structured advisory engagement comprising review of the underlying dispute materials, preparation of a substantive letter before action, and written advice on the likely procedural consequences. Fixed fee of MYR 520.

The Firm's services are generally available to persons and entities based in or with a substantial connection to Malaysia. The Firm reserves the right to decline instructions on any matter without giving reasons.

§ IV

User Obligations

Users of the Website agree to use it only for lawful purposes and in a manner consistent with the following obligations:

  • 01.You will not use the Website to transmit unsolicited commercial communications, malicious code, or content intended to harm third parties.
  • 02.You will not attempt to gain unauthorised access to any part of the Website, its servers, or associated systems.
  • 03.You will not reproduce, republish, or redistribute any Content without the prior written consent of the Firm.
  • 04.You will provide accurate and complete information when submitting an enquiry. The provision of false or misleading information may result in the Firm declining or withdrawing from an engagement.
  • 05.You acknowledge that information submitted through the Website enquiry form does not, by itself, establish a solicitor-client relationship and does not attract legal professional privilege until an engagement letter is executed.
§ V

Engagement and Service Delivery

Upon acceptance of instructions, the Firm will provide a written engagement letter setting out the scope of the matter, the fee arrangement, estimated timelines, and the terms on which the engagement will be conducted. The engagement letter, together with these Terms, constitutes the full agreement between the Firm and the Client in respect of the matter.

The Firm will conduct each engagement with the care and skill to be expected of a competent Malaysian solicitor. The Firm will advise the Client of material developments in a matter and will communicate in plain language.

The Client acknowledges that legal proceedings involve inherent uncertainty and that the Firm cannot guarantee any particular outcome. The Firm will provide an honest assessment of the strengths and limitations of the client's position at the time of instruction and will update that assessment as material facts emerge.

Timelines for the completion of written work and the progression of court proceedings are estimates only. Court listings, regulatory timelines, and the conduct of opposing parties are outside the Firm's control.

§ VI

Fees and Payment

All fees are denominated in Malaysian Ringgit (MYR). The fee applicable to each engagement will be set out in the engagement letter. Fees stated on the Website's solutions page are indicative starting points only; the fee for a particular matter will be confirmed in the engagement letter.

Payment terms will be specified in the engagement letter. The Firm typically requires payment of a deposit prior to commencing substantive work. Invoices are payable within fourteen (14) days of issue unless otherwise agreed in writing.

Where a matter is concluded or an engagement is terminated prior to completion of the agreed scope, fees will be payable for work properly done to the date of termination, calculated on the basis set out in the engagement letter.

The Firm accepts payment by bank transfer. Details will be provided on invoice. The Firm does not accept cash payments for amounts exceeding those permitted under applicable anti-money laundering regulations.

§ VII

Intellectual Property

All Content on the Website, including text, layout, and design, is the intellectual property of Murni Counsel or its licensors and is protected by Malaysian copyright law. You may access and view Content for personal, non-commercial use only.

Documents, letters, pleadings, and other work product produced by the Firm for a Client in the course of an engagement remain the copyright of the Firm but are licensed to the Client for the purpose for which they were prepared. The Client may use such work product for its intended purpose but may not reproduce it commercially or represent it as independent legal advice for the benefit of third parties.

All other rights are reserved. No licence to use the Firm's name, logo, or trade mark is granted by these Terms.

§ VIII

Disclaimers

Nothing published on this Website constitutes legal advice. The Content on this Website is provided for general informational purposes only. It does not create a solicitor-client relationship and should not be relied upon as a substitute for legal advice on your specific circumstances.

The Website and its Content are provided on an "as is" basis. The Firm makes no representation as to the accuracy, completeness, or currency of the Content and accepts no liability for errors or omissions. Laws and court procedures change; information on this Website may not reflect the most recent position.

The Firm does not guarantee uninterrupted access to the Website and accepts no liability for loss arising from technical interruptions, server downtime, or inaccessibility of the Website for any reason.

§ IX

Limitation of Liability

To the fullest extent permitted by Malaysian law, the Firm's liability to a Client in respect of any engagement shall not exceed the fees actually paid to the Firm under the relevant engagement letter.

The Firm shall not be liable for any indirect, consequential, or special loss arising out of or in connection with the use of the Website or the provision of Services, including loss of profit, loss of business, or loss of anticipated savings.

The Firm's liability in professional negligence is governed by the Legal Profession Act 1976 and applicable Malaysian common law. Nothing in these Terms limits the Firm's liability where such limitation is not permitted by law, including liability for fraud or wilful misconduct.

§ X

Indemnification

You agree to indemnify and hold harmless the Firm and its principals, associates, and staff against any claim, loss, damage, cost, or expense (including reasonable legal costs) arising from your breach of these Terms, your unlawful use of the Website, or your provision of false or misleading information to the Firm in the course of an enquiry or engagement.

§ XI

Termination of Engagement

A Client may terminate an engagement at any time by written notice to the Firm. Fees for work properly completed to the date of termination remain payable in accordance with the engagement letter.

The Firm may withdraw from an engagement in accordance with the applicable rules of the Malaysian Bar and the Legal Profession (Practice and Etiquette) Rules 1978. Grounds for withdrawal include, but are not limited to, non-payment of fees, a material breakdown in the solicitor-client relationship, the discovery of a conflict of interest, or instruction to act in a manner the Firm considers improper.

On termination or withdrawal, the Firm will take reasonable steps to avoid prejudice to the client's position, including providing reasonable notice and delivering the client's documents and property. Sections VII, VIII, IX, X, and XII of these Terms survive the termination of any engagement.

§ XII

Dispute Resolution and Governing Law

These Terms and any engagement between a Client and the Firm shall be governed by and construed in accordance with the laws of Malaysia.

In the event of a dispute arising from an engagement, the parties agree to first attempt to resolve the matter through direct negotiation. If the dispute is not resolved within twenty-one (21) days of written notice of the dispute, either party may refer the matter to the Malaysian Bar's Disciplinary Board (where the complaint concerns professional conduct) or to mediation at the Malaysian Mediation Centre.

If mediation is unsuccessful, the parties submit to the non-exclusive jurisdiction of the courts of Malaysia, with the High Court at Johor Bahru being the primary court of first instance, unless the applicable rules of court otherwise provide.

§ XIII

General Provisions

  • Entire Agreement:These Terms, together with the engagement letter for any particular matter, constitute the entire agreement between the parties in respect of the subject matter and supersede all prior representations and understandings.
  • Severability:If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver:Failure by the Firm to enforce any provision of these Terms on any occasion shall not constitute a waiver of the right to enforce that provision on a subsequent occasion.
  • Assignment:The Client may not assign any rights or obligations under these Terms or an engagement letter without the prior written consent of the Firm.
  • Notices:Notices to the Firm under these Terms should be sent by email to [email protected] or by post to the Firm's principal office. Email notices are effective upon receipt of a read confirmation or reply.
§ XIV

Changes to These Terms

The Firm may update these Terms and Conditions from time to time. Any changes will be posted on this page with a revised effective date. The Terms applicable to an active engagement at the date of a revision will be those in force at the time the engagement letter was executed, unless the Client agrees to the revised Terms in writing.

Continued use of the Website following publication of a revised version constitutes acceptance of the revised Terms for the purpose of Website use.
