Case Study 01 Civil Litigation — Contract Dispute

Challenge

A Johor Bahru company engaged the firm after a supply agreement counterparty ceased deliveries mid-contract and denied any obligation to complete. The company had made advance payments and had no supply from an alternative source at short notice.

Engagement

The firm reviewed the contract, assessed the breach, and filed proceedings at the High Court in Johor Bahru. An application for interim relief was made concurrently. Written updates were provided at each procedural stage; the fee structure was disclosed and adhered to throughout.

Outcome

The matter settled prior to trial following the interim relief application. The client recovered the advance payments and negotiated a release from the remaining contract. Total engagement duration: approximately nine months from instruction to settlement.

Case Study 02 Commercial Drafting — Shareholder Agreement

Challenge

Two founding shareholders of a private company sought to document their arrangement — including dividend policy, exit provisions, and deadlock resolution — before admitting a third party investor. Existing heads of agreement were brief and did not address several material points.

Engagement

Written instructions were taken from both founders. The firm drafted a full shareholder agreement with an explanatory note addressing each structural choice, particularly the deadlock and exit provisions. A revision round was completed within the quoted scope.

Outcome

Agreement executed by all three parties within three weeks of instruction. Clients reported that the explanatory note was instrumental in facilitating discussion between the shareholders on the more contentious provisions. Fee: within the quoted MYR 1,180 starting range.

Case Study 03 LBA Conference — Unpaid Invoice Dispute

Challenge

A service provider had outstanding invoices of approximately MYR 42,000 from a client who disputed the scope of work. The provider was uncertain whether to pursue recovery through the courts or explore alternatives, and wanted a measured first step.

Engagement

The letter-before-action conference was engaged. The firm reviewed the service agreement, the invoices, and the correspondence exchanged. A substantive letter was drafted addressing the scope dispute directly and setting out the legal basis for the claim. Written advice on procedural options was provided alongside.

Outcome

The counterparty responded within twelve days and agreed to pay the undisputed portion (approximately MYR 36,000) and negotiate the balance. The matter resolved within six weeks of the letter being issued without further legal proceedings. Engagement fee: MYR 520.
